The Securities and Exchange Commission (SEC) recently adopted rules implementing many portions of the Sarbanes-Oxley Act of 2002 (ACT), including those portions of the Act related to auditor independence and internal control over financial reporting under Section 404. Because of recent conflict of interest issues with its external auditors, many publicly-traded companies are turning to other service providers for internal audit services, including documentation and testing surrounding Section 404 of the Act.
